Scope of Applicability

These API Terms (the “API Terms”) govern the provision of certain application programming interfaces as further specified in these API Terms (the “API”) by Mirelo and supplement the Terms of Service available here.

Where these API Terms use terms that are defined in the Terms available under https://mirelo.ai/terms, those terms shall have the meaning ascribed to them in the Terms. In the event of any conflict between these API Terms and the Terms, these API Terms shall prevail with respect to the use of the API.

By accessing or using the API, you agree to be bound by these API Terms. The contract regarding the use of the API is concluded upon Mirelo’s provision of the credentials that enable you to make authenticated requests to the API. For clarity, by agreeing to these API Terms, you also agree to the Terms here.

Access to the API

The API allows you to integrate Mirelo’s Services, including our AI Models, into your own applications so that end-users of your own applications (the “End-Users”) can use Mirelo’s Services from inside your applications. The specific functionality, services and/or features are documented and updated from time to time in the API documentation available here.

You shall ensure that all End-Users comply with the Terms, including in particular the AUP available here. You shall be responsible for any breach of the Terms by End-Users and shall indemnify us against any claims, damages, or losses arising from such breach.

You may access the Services via the API solely for the purpose of integrating the Services into your products or services. You shall not expose, publish, or otherwise make available the API to third parties except as necessary for End-Users to access the Services through your integrated environment. For the avoidance of doubt, you shall not resell, redistribute, or make the API or the Services available to third parties on a standalone basis.

We do not warrant that any integration with the API and the Services in your applications is possible and provide access to the API without warranting the operation of your own use case of the API or the Services.

Access to and use of the API requires you to register for an API client key. You shall keep all API client keys and associated credentials and information secure and confidential at all times. You shall not share, transfer, or otherwise disclose API credentials to any third party without our prior written consent.

You shall only access the API using the credentials issued by us in accordance with these API Terms and shall not attempt to use credentials issued to any other party. You acknowledge that the right to access and use such credentials is granted at our sole discretion.

For the avoidance of doubt, all intellectual property rights in and to the API remain exclusively with Mirelo, as further set out in the Terms.

License Granted

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, worldwide license to access and use the Services through the API provided, including for the purpose of embedding, integrating or otherwise making the Services publicly available to End-Users as part of your own products or services via your systems, applications, or integrations (the “Embedded Use”).

To the extent required for you to provide your products or services to End-Users, you are granted the right to sublicense to End-Users only those rights in the Services that are strictly necessary to enable such End-Users to access and use the Services through your systems, applications, or integrations. Such sublicenses shall be limited to the rights necessary to (i) remotely access the Services, and (ii) perform all technically required steps for loading, executing, displaying, and temporarily storing the Software (including transient or incidental copies) in accordance with Section 69d(1) through (3) German Copyright Act or equivalent mandatory statutory provisions.

For clarity, you shall not grant any sublicenses beyond what is strictly necessary for the Embedded Use. In particular, you shall not grant End-Users any right to (i) modify, adapt, translate, or create derivative works of the Services, including the AI Models, (ii) permanently reproduce or distribute the Services, (iii) access the Services other than via your integrated solution, or (iv) further sublicense the Services to any third party.

Where your integration of the Services enables End-Users to actively generate, regenerate, or select between outputs produced by the AI Models, you shall include a clearly visible attribution stating that such outputs are generated using Mirelo’s technology (e.g., “Powered by Mirelo”). Where the Services are integrated into a fully automated pipeline in which End-Users have no direct interaction with the AI Models and no ability to initiate or influence the generation of outputs, no such attribution shall be required.

Fees

Service Fees for the use of the Services through the API are available here. The Service Fees may be charged upfront and provided as credits.

API Limits

Mirelo may establish and enforce limitations on your use of the API, including limitations on the number of requests made and the frequency of access. Such limitations may be imposed or modified at our sole discretion.

You agree to comply with all applicable usage limits and shall not attempt to circumvent or bypass such restrictions, whether technical or contractual in nature.

Mirelo does not warrant or guarantee any specific level of availability, uptime, response time, throughput, or performance of the API or the Services. The API and the Services are provided on an “as available” basis. If you require dedicated service level commitments, you must enter into a separate enterprise agreement with Mirelo.

Open-Source Software

Certain components, libraries, or packages used by or included in the API may be licensed under open source software licenses (the “Open Source Components”). To the extent that any such license expressly supersedes these Terms, your use, reproduction, or distribution of the applicable Open Source Component is governed by the terms of that open source license and not this section or these Terms.

Modifications

We may modify or update the API and/or the AI Models or any specifications or functionalities of the Services (the “Modifications”) at any time in our sole discretion. You acknowledge and agree that such Modifications may affect your application’s ability to access the Services and may require you to make changes to your application to continue to integrate the API at your own costs. We will use commercially reasonable efforts to provide you with prior notice for material Modifications requiring changes to your application, but we will not be liable for any costs incurred by you, lost profits, or damages of any kind arising out of or in connection with any Modification.

Liability

Notwithstanding the liability provisions set out in the Terms, we shall have no liability or obligations in connection with modifications to the API or Services made by you or End-Users and the combination, operation or use of the API or the Services with your material or software. Further, we disclaim any and all liability for claims or damages of End-Users or any other third parties pursuant to your sublicensing of the API or Services.

Suspension and Termination of API Access

Without prejudice to any rights or remedies available to Mirelo under the Terms, Mirelo may suspend or restrict your access to the API, if Mirelo reasonably determines that you or any of your End-Users have: (i) shared, transferred, or disclosed API credentials in violation of these API Terms; (ii) attempted to circumvent or bypass any usage limits or technical restrictions imposed on the API; (iii) resold, redistributed, or made the API or the Services available to third parties on a standalone basis; (iv) failed to include the required attribution described under License Granted; or (v) otherwise materially breached any provision of these API Terms.

If a breach giving rise to a suspension under the preceding paragraph is not remedied within fourteen (14) days of written notice, Mirelo may permanently terminate your access to the API with immediate effect.

Mirelo shall not be liable for any costs, damages, or losses of any kind arising out of or in connection with any suspension, restriction, or revocation of API access pursuant to this section.

Data Processing and Privacy

To the extent that your use of the API involves the processing of personal data, you shall comply with all applicable data protection laws. Where Mirelo processes personal data on your behalf, the parties shall enter into a data processing agreement in accordance with applicable law. You are solely responsible for providing all required privacy notices to, and obtaining all necessary consents from, End-Users and other data subjects in connection with your use of the API.
